These Terms of Use (“Terms”) constitute a legally binding agreement between you and Hayat Lux (“Company,” “we,” “us,” or “our”) governing your access to and use of the Private Lane VPN mobile application (the “App”).

Please read these Terms carefully. By downloading, installing, accessing, or using the Private Lane VPN App, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. You further represent that you have the legal capacity to enter into this agreement.

Your use of the App signifies your unconditional acceptance of these Terms. If you do not agree to any provision of these Terms, you are not authorized to use the Private Lane VPN App and must discontinue use and uninstall it from your device immediately.

We reserve the right to modify or update these Terms at our sole discretion. We will notify you of any material changes by posting the revised Terms within the App and updating the “Last Updated” date. Your continued use of the App following the effective date of such changes will constitute your acceptance of the revised Terms.

1. Agreement

1.1. License Grant

Subject to your ongoing compliance with these Terms, Hayat Lux grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to:

(a) download and install one copy of the Private Lane VPN application on each mobile device that you own or control; and

(b) access and use the App for your personal, non-commercial purposes.

This license is provided solely to enable your use of the Private Lane VPN service as made available by us.

1.2. License Restrictions

You must not, and you must not permit any third party to:

(a) license, sublicense, sell, rent, lease, transfer, or commercially exploit the App;

(b) copy, modify, adapt, create derivative works of, reverse engineer, decompile, or disassemble the App, except to the extent such restrictions are prohibited by applicable law.

Any future updates, new features, or enhancements to the App are governed by these Terms. You may not remove, alter, or obscure any copyright, trademark, or other proprietary rights notices contained in or on the App.

1.3. Compliance with Laws

You are solely responsible for your conduct while using the Private Lane VPN App and you must ensure that your use complies with all applicable local, state, national, and international laws, rules, and regulations.

1.4. Changes to the App

Hayat Lux reserves the right to modify, update, suspend, or discontinue the App (or any of its features) at any time and for any reason without liability. While we may make reasonable efforts to notify users of significant changes, we are under no obligation to do so.

1.5. Ownership and Intellectual Property

The Private Lane VPN App is licensed, not sold, to you. Hayat Lux and its licensors retain exclusive ownership of all right, title, and interest in and to the App, including all associated intellectual property rights such as copyrights, patents, and trademarks. This Agreement does not grant you any ownership rights.

The “Hayat Lux” name, the “Private Lane VPN” logo, and all related product and service names are trademarks of Hayat Lux. You are granted no right or license to use these marks. All rights not expressly granted to you in these Terms are reserved by Hayat Lux.

2. User-Generated Content & Conduct

2.1. User Responsibility

“Your Content” refers to any information, data, text, or communications you transmit, distribute, or post through the App. You retain all ownership rights you hold in Your Content. However, you are solely responsible for its content and the consequences of sharing it. This includes ensuring that Your Content does not lead to the unauthorized identification of you or any other individual.

Hayat Lux is not obligated to store, retain, or create backups of Your Content, and it may be permanently lost at any time. You are solely responsible for creating and maintaining independent backups of any important data.

2.2. License You Grant to Us

By submitting Your Content, you grant Hayat Lux a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, use, distribute, modify, and display Your Content. This license is granted solely for the limited purpose of operating, developing, providing, and improving the Private Lane VPN service. You represent and warrant that you own or have the necessary rights, licenses, and permissions to grant this license for any Content you submit.

2.3. Feedback

Any unsolicited feedback, suggestions, or ideas you provide regarding Private Lane VPN (“Feedback”) is considered non-confidential and non-proprietary. You grant Hayat Lux a perpetual, irrevocable, worldwide license to use, reproduce, modify, and commercialize such Feedback for any business purpose without any obligation of compensation or confidentiality to you. Please do not submit any information that you wish to keep private or proprietary.

2.4. Acceptable Use Policy

You agree not to use the Private Lane VPN App to create, upload, transmit, or use any Content, or to engage in any activity, that:

(a) infringes upon or violates any third party’s intellectual property, privacy, or other rights.

(b) is unlawful, fraudulent, defamatory, obscene, or intentionally misleading.

(c) constitutes harassment, bullying, abuse, or threats toward others.

(d) is designed to disrupt, damage, or gain unauthorized access to any system, server, or network (e.g., distributing malware, initiating DDoS attacks, network probing).

(e) involves the unauthorized scraping or collection of information from other users or the service.

(f) interferes with or undermines the integrity, security, or performance of the App or its underlying infrastructure.

2.5. Enforcement

Hayat Lux reserves the right (but assumes no obligation) to investigate any use of the service and to take appropriate legal action, which may include removing or disabling access to Your Content and/or suspending or terminating your account, if you violate this Acceptable Use Policy.

3. Term and Termination

3.1. Agreement Duration

These Terms become effective upon your acceptance—which occurs when you create an account, install, access, or use the Private Lane VPN App—and will remain in effect until terminated by either you or Hayat Lux as set forth herein.

3.2. Your Termination Right

You may terminate this Agreement at any time by permanently uninstalling the Private Lane VPN App from all your devices and ceasing all use of our services.

3.3. Termination by Hayat Lux

Hayat Lux may, at its sole discretion, suspend or terminate your access to the App and/or this Agreement, with or without cause and with or without notice, for any reason, including if we reasonably believe you have violated these Terms or that your use is harmful to other users, the service, or our operations. A persistent history of copyright infringement will result in account termination.

3.4. Consequences of Termination

Upon any termination:

(a) All rights and licenses granted to you under these Terms will immediately cease.

(b) You must promptly cease all use of the Private Lane VPN App and uninstall it from your devices.

(c) Hayat Lux may permanently delete or anonymize your account data and Your Content from its live databases. We shall have no liability to you or any third party for any termination of access or for the deletion of your data.

4. Indemnification

You agree to defend, indemnify, and hold harmless Hayat Lux, its affiliates, and their respective suppliers and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

(i) your access to or use of the Private Lane VPN App;

(ii) your User Content; or

(iii) your violation of these Terms.

Hayat Lux reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with us in defending such claims. The costs of this defense will be at your expense. You may not settle any claim without the prior written consent of Hayat Lux. We will make reasonable efforts to notify you of any such claim, action, or proceeding once we become aware of it.

5. Third-Party Services and Interactions

5.1. App Store Terms

The availability of the Private Lane VPN App is dependent on the third-party digital platform from which you downloaded it (the “App Store”). This Agreement is between you and Hayat Lux, not the App Store. The App Store is not responsible for the Private Lane VPN App, including its maintenance, support services, or any claims you may have relating to it.

You agree to comply with all applicable terms and policies of the App Store from which you downloaded the App, including the payment of any associated fees. The App Store is a third-party beneficiary of this Agreement and has the right to enforce its terms against you.

5.2. Third-Party Services

The App may enable access to or interaction with third-party websites, services, or content (collectively, “Third-Party Services”). Your use of such Third-Party Services may involve the collection and sharing of your information as described in our Privacy Policy.

Hayat Lux does not endorse or assume any responsibility for Third-Party Services. Your use of these services is solely at your own risk, and your interactions are governed solely by the terms and privacy policies of the respective third party.

5.3. Other Users

While using our Services, you may encounter content provided by other users. Hayat Lux does not endorse, control, or assume any liability for any User Content. Your interactions with other users are solely between you and them. We are not obligated to become involved in or mediate any disputes arising from such interactions.

5.4. Release

To the fullest extent permitted by applicable law, you hereby release Hayat Lux, its affiliates, and their respective officers, directors, employees, and agents from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with:

Your use of Third-Party Services;

Any interactions or disputes with other users;

The actions or omissions of third-party advertisers.

If you are a California resident, you expressly waive the benefits of California Civil Code §1542, which states: “A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.”

6. Disclaimer of Warranties

6.1. “As Is” Basis

The Private Lane VPN application and all related services are provided by Hayat Lux and its suppliers on an “as is” and “as available” basis, without any warranties of any kind. To the fullest extent permissible under applicable law, Hayat Lux expressly disclaims all statutory, express, and implied warranties, including, but not limited to, warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and the absence of security vulnerabilities.

Hayat Lux does not warrant or guarantee that the App will:

(A) Meet your specific requirements or expectations;

(B) Be available on an uninterrupted, timely, secure, or error-free basis; or

(C) Operate with complete accuracy, reliability, or security.

6.2. Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain liabilities. Therefore, the disclaimers and limitations set forth in this section may not apply to you, and you may have other rights that vary by jurisdiction. In such cases, the exclusions and limitations will be applied to the fullest extent permitted by the law of your jurisdiction.

7. Limitation of Liability

7.1. Limitation on Damages

To the maximum extent permitted by applicable law, in no event shall Hayat Lux, its affiliates, directors, employees, agents, or suppliers be liable to you or any third party for any indirect, incidental, consequential, special, punitive, or exemplary damages, including without limitation, damages for loss of profits, data, business opportunities, or goodwill, or for personal injury or property damage, arising out of or relating to these Terms, our Privacy Policy, or your use of the Private Lane VPN application, even if Hayat Lux has been advised of the possibility of such damages.

You access and use the Private Lane VPN application at your own discretion and risk. You are solely responsible for any damage to your computer systems or mobile devices or loss of data that results from such use.

Notwithstanding anything to the contrary in these Terms, Hayat Lux’s total aggregate liability to you for any and all claims arising out of or relating to these Terms or your use of the application shall not exceed the total amount of fees you have actually paid to Hayat Lux, if any, in the twelve (12) month period immediately preceding the event giving rise to the claim.

7.2. Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. Therefore, the above limitations or exclusions may not apply to you. In such a case, the foregoing limitations shall be enforced to the maximum extent permitted by applicable law in your jurisdiction.

8. Fees and Payments

You agree to pay all fees associated with your use of the Private Lane VPN application, including any subscription fees or one-time payments for premium services. All fees are payable either to Hayat Lux or to the third-party distributor (such as an App Store) from which you downloaded the App, as applicable.

9. General Provisions

9.1. Modifications to Terms

We reserve the right, at our sole discretion, to modify or replace this Agreement at any time. We will provide notice of significant changes by posting the updated Terms within our Services. For existing users, your continued use of the Private Lane VPN application after the effective date of the revised Terms constitutes your acceptance of the changes. You are advised to review this Agreement periodically and to maintain a copy for your records.

9.2. Notices

9.3. Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. The invalid provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent to the fullest extent possible.

9.4. Complete Agreement

This Agreement, together with our Privacy Policy and any other documents expressly incorporated herein, constitutes the entire and exclusive understanding between you and Hayat Lux concerning the Private Lane VPN application and supersedes all prior oral or written agreements, communications, and understandings on this subject.

Our failure to enforce any right or provision of this Agreement will not be considered a waiver of those rights. The section headings in this Agreement are for convenience only and have no legal or contractual effect. The term “including” as used herein shall be interpreted to mean “including without limitation.” No agency, partnership, joint venture, or employment relationship is created between you and Hayat Lux as a result of this Agreement.

You may not assign or transfer your rights or obligations under this Agreement without our prior written consent. Hayat Lux may freely assign or transfer this Agreement without restriction, including in connection with a merger, acquisition, sale of assets, or by operation of law.
